Sovereign Scribe — Terms of Service

Version: 1.0 · Effective: 1 September 2026

Who these terms are between

These terms are an agreement between SVRGN Inc., a Delaware corporation ("Sovereign", "we"), and you, the person using Sovereign Scribe.

Unlike the rest of what this company sells, this is a consumer product. You are agreeing on your own behalf. You must be 18 or older. If you are using Scribe for work, you are still the one agreeing, and you are still the one responsible for what you record.

You agree to these terms by creating an account or by using the app.

What Sovereign Scribe is

Scribe is a recorder that asks first. The app records only when you tap, tells the people around you that it is recording while it does, and by default transcribes on your phone, where the audio stays. If you subscribe to Scribe Private, the text — never the audio — goes to a server that is yours alone, which returns a debrief: the claims made in the conversation, extracted, checked, and given a verdict with evidence.

There is one exception to the audio staying on your phone, and it is yours to choose: if you upload a file to be transcribed, that file reaches our own transcription service, and it is deleted as soon as it has been transcribed.

It is not a lawyer, an accountant, a doctor, or an adviser of any kind, and a debrief is not advice. It is a machine's reading of what was said, for a person to judge.

The law about recording is your responsibility

This is the most important term on this page, so it is stated plainly, and it is not softened anywhere else in this document.

Whether you may lawfully record a given conversation is your decision and your responsibility. Recording law in the United States varies by state, by whether the conversation is in person or on a phone, and by who is in the room. Some states make it a crime to record without everyone's agreement. We are not in the room, we do not know who is, and we do not decide for you.

What we do instead is make the cautious path the default. You declare a jurisdiction. Your room classifies it as one-party or all-party, and when it cannot classify it — an unrecognised place, a multi-state call, or your saying "not sure" — it answers all-party, which arms the spoken announcement and the chime. Unknown never means silent. The worst a bad declaration can do is make the app more careful than it strictly had to be.

None of that is a legal opinion, and none of it is a defence. It is a product behaviour. If a recording matters — to a deal, a dispute, or anyone's job — ask a lawyer before you make it.

Your attestation is a promise you are making

You cannot start a session without ticking the attestation:

I confirm that everyone who can be recorded in this session is aware of and consents to this recording.

That is a representation by you to us, made fresh for every session. You are telling us that it is true at the moment you record. We record which version of that wording you agreed to, and when, because the record is the point.

If it is not true, do not tick it. There is no way to skip it, there is no "don't ask again", and there is no covert mode. That will not change.

Nothing here is legal advice

The app and the website contain plain-English explanations of one-party and all-party consent. They are general information, they are current only as of the date stamped on them, they are not specific to your situation, and they do not create a lawyer–client relationship with anyone. We may be wrong about a state, and states change. Ask a lawyer.

What you own, and what we do

Your recordings, your transcripts, and your debriefs are yours. We claim no ownership of them and take no licence to them beyond what is needed to run the service for you: transcribing, composing your debrief, and delivering it to you.

We do not use your content to train AI models — ours or anyone else's — and we do not sell it, pool it with anyone else's, or use it to advertise to you.

Scribe itself — the software, the models we have configured, the design and the brand — stays ours. While these terms are in force you have a personal, non-exclusive, non-transferable right to use it. You may not resell it, sublicense it, or run it as a service for other people.

If you tell us how the product should be better, we may act on that without owing you anything for it.

Your account, the subscription, and cancelling

The free app works without an account. Scribe Private requires one, and costs $79 per month.

You can subscribe in either of two places, and which one you used decides how you manage and cancel it.

Through the app. If you subscribe from inside the iOS app, Apple takes the purchase. Apple bills you, the subscription lives in your Apple account, and you cancel it in your device's subscription settings rather than with us. Refunds are Apple's to give; we cannot issue one for a payment we never took. Apple's own terms govern that transaction alongside these.

Through the customer portal. If you subscribe on the web, we bill you through Stripe. You cancel in the portal or by writing to us, and we handle refunds ourselves under the terms below.

The subscription renews monthly until you cancel. You can cancel at any time and it ends at the close of the period you have paid for; we do not pro-rate a partial month. We will give you at least 30 days' notice before changing the price, and a change never applies to a period you have already paid for.

If your subscription lapses, your room stops accepting new sessions. We will tell you before anything is deleted, and you will have the chance to export your debriefs first.

You can delete your account from inside the app. What that erases, and what survives it, is described in the Privacy Policy — read that section rather than assuming, because a metadata record deliberately outlives the content.

What you agree not to do

You agree not to use Scribe to:

  • record anyone in a way that breaks the law where they are;
  • record a conversation covertly, or misrepresent to anyone what the app is doing;
  • record a person under 18, or use the service if you are under 18 yourself;
  • record where recording is separately prohibited — a courtroom, a jury room, a clinical setting where you are the provider, a place with its own rule;
  • claim to anyone that a debrief is a legal record, a certified transcript, or evidence of anything beyond what it plainly is;
  • attempt to defeat, bypass, or disable the consent gate, the announcement, the recording indicator, or the ledger;
  • resell the service, or run it for other people.

The consent gate is not a setting. Attempting to circumvent it is a breach of these terms and grounds for us to close your account.

Availability, and what we do not certify

We aim to keep your instance available and we will tell you promptly when something material breaks. This page carries no uptime figure, because no service-level agreement has been signed and a number printed here would be that agreement.

Parts of the service depend on third parties — hosting, AI models, email. When one of them fails or changes what it permits, your instance can be affected in ways we do not control.

We will never describe this product as "end-to-end encrypted", "HIPAA compliant", or "court-admissible", and you should not rely on any claim that it is. Scribe is not SOC 2 audited and no auditor is engaged.

Transcription and debriefs are machine output

Speech recognition mishears. Models summarise wrongly and score claims wrongly. A debrief may attribute something to the wrong speaker, miss what mattered, or state a verdict that is simply incorrect.

Read it as a machine's reading, not as a record of what was said. Where the difference would matter, go back to the transcript, and keep your own notes.

Warranties, and their limits

We warrant that we will provide the service with reasonable skill and care, and that the behaviours described on this page — the gate, the announcement, the metadata-only ledger — work as described.

Beyond that, and to the extent the law allows, the service is provided as is. We do not warrant that transcription or debriefs will be accurate, that they will be fit for any particular purpose, or that the service will be uninterrupted. Some jurisdictions do not allow the exclusion of implied warranties, in which case the exclusions above apply only as far as that law permits.

Liability

To the extent the law allows, neither of us is liable to the other for indirect or consequential loss.

Our total liability to you under this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing here limits liability for fraud, for wilful misconduct, or for anything that cannot lawfully be limited — which, for a consumer agreement, includes more than it would between businesses.

You cover us for what you record

If someone brings a claim against us because of a conversation you recorded — that you recorded it, how you recorded it, or what you did with the result — you will cover us for it, provided we tell you promptly and let you take control of the defence. This does not apply where the claim is about our own failure to run the service as described.

Disputes

1. Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding individual arbitration before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures, or its Consumer Arbitration Rules where those apply. Judgment on the award may be entered in any court having jurisdiction.

2. Class action waiver. You and Sovereign agree that any arbitration or judicial proceeding shall be conducted solely on an individual basis and not in a class, collective, consolidated, or representative action. You expressly waive any right to file, join, or participate as a plaintiff or class member in any class action lawsuit, class-wide arbitration, or any other representative proceeding.

3. Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY UNCONDITIONALLY AND IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THESE TERMS OR THE TRANSACTIONS CONTEMPLATED BY THEM.

4. Your right to opt out, within 30 days. You may opt out of this arbitration agreement and of the class action waiver above. To opt out, send written notice to hello@svrgninc.com within thirty (30) calendar days of the date you first accept these terms. Your notice must include your name, your residence address, the email address associated with your account, and a clear statement that you wish to opt out. If you opt out, every other part of these terms continues to apply to you.

5. Small claims. Either party may instead bring an individual action in a small-claims court of competent jurisdiction, for a claim that falls within that court's monetary and subject-matter limits and stays individual.

6. Arbitration fees. If you start an arbitration against us, you pay only the consumer filing fee set by JAMS's consumer rules — capped at approximately what filing in court would cost — and we pay every other cost of the arbitration, including the arbitrator's fees. If we start one against you, we pay all of it. This does not stop an arbitrator from allocating costs or fees at the end of a case where the law allows it.

Before either of us files anything, we will each raise the problem in writing and give the other 30 days to fix it.

Governing law

These terms are governed by the law of the State of Delaware, without regard to its conflict-of-laws rules.

If you got the app from the App Store

These terms apply, with the following additions, which Apple requires and which we state because they are accurate.

  1. This agreement is with us, not Apple. Apple is not a party to it and is not responsible for the app or its content.
  2. Your licence is to use the app on any Apple-branded device you own or control, as permitted by the Usage Rules in Apple's own terms.
  3. Support is ours. Apple has no obligation to provide maintenance or support for the app. Write to hello@svrgninc.com.
  4. Warranty is ours. If the app fails to conform to any warranty we give, you may notify Apple and Apple will refund what you paid for it, if anything; beyond that refund, Apple has no warranty obligation.
  5. Claims about the app are ours — product liability, any failure to conform to a legal requirement, and claims under consumer-protection or privacy law. Not Apple's.
  6. Third-party intellectual-property claims about the app are ours to handle.
  7. You confirm you are not in a country subject to a US Government embargo or designated as supporting terrorism, and that you are not on any US Government list of prohibited or restricted parties.
  8. Our contact details are SVRGN Inc., Austin, Texas, hello@svrgninc.com.
  9. You will comply with any applicable third-party terms that reach the way you use the app.
  10. Apple and its subsidiaries are third-party beneficiaries of these terms, and on your accepting them Apple has the right to enforce them against you.

Changes to these terms

When we change these terms we update the version and the date at the top. If a change materially affects your rights, we will tell you directly and give you at least 30 days before it takes effect for you. Continuing to use Scribe after that is acceptance; if you would rather not, cancel.
